This Vendor Agreement ("Agreement") governs your registration and participation as a food vendor ("Vendor") on the FoodLoot Platform. By completing the vendor onboarding process and listing deals on FoodLoot, you agree to be bound by this Agreement, the Customer Terms and Conditions, and the Privacy Policy.

By submitting a vendor application, completing onboarding, or listing any deal on the FoodLoot Platform, you represent that you have read, understood, and agree to be bound by this Agreement on behalf of yourself and the business you represent.
If you are entering into this Agreement on behalf of a company or organisation, you represent that you have the legal authority to bind that entity.
This Agreement is a legally binding contract between FoodLoot Ventures ("FoodLoot", "we", "us", or "our"), a company based in Karachi, Pakistan, and the Vendor.
FoodLoot is a technology marketplace platform. We act as an agent and intermediary to facilitate the discovery, reservation, and payment for surplus food sold by Vendors to customers.
FoodLoot does not:
The purchase contract for food is between the Vendor and the Customer. FoodLoot is not a party to that contract. By listing on FoodLoot, you acknowledge and agree that you bear sole and full responsibility for the food products you sell through the Platform.
To register as a Vendor on FoodLoot, you must:
FoodLoot reserves the right to request evidence of any licence, permit, or certification at any time. Failure to provide requested documentation may result in suspension or removal.
Vendor registration is subject to review and approval by FoodLoot's admin team. Approval is not guaranteed. We reserve the right to approve or reject any application at our sole discretion without being required to provide reasons.
Approved Vendor status may be revoked at any time if you cease to meet eligibility requirements or breach this Agreement.
We will notify you of our decision by email.
This is the most critical section of this Agreement. Please read it carefully.
You, the Vendor, bear sole and exclusive responsibility for:
FoodLoot has no responsibility whatsoever for the food you sell. By listing on FoodLoot, you confirm that your food is safe, lawful, and prepared to an appropriate hygiene standard.
Given the variable and surplus nature of Loot Bags, exact allergen composition may not always be known in advance. However, you must:
Listing or providing food that is expired, mouldy, spoiled, unsafe, or otherwise unfit for human consumption is a serious breach of this Agreement and Pakistani law. Any such breach will result in immediate suspension and may be referred to relevant authorities.
If a customer contacts you with a food quality or safety complaint, you agree to:
When creating a deal listing, you represent and warrant that:
FoodLoot operates on a surplus bag model. Deals are presented as approximate — customers understand and accept that exact contents will vary. You are not required to guarantee specific items, but you must:
You must not list:
You may cancel a confirmed Reservation up to 2 hours before the start of the scheduled pickup window if you no longer have sufficient surplus food available (for example, due to higher than expected sales). When you cancel:
Cancellations should only occur due to genuine surplus shortages. Repeated cancellations — particularly short-notice cancellations or cancellations that are not attributable to a genuine lack of surplus food — will be treated as a breach of this Agreement and may result in suspension or removal.
Cancellations within 2 hours of the pickup window start are only acceptable in genuine emergencies (e.g., unexpected closure, safety issue). These must be reported to FoodLoot at foodloot@foodlootpk.com with an explanation.
You agree to:
Failure to be present during the pickup window without prior notice or cancellation constitutes a breach of this Agreement.
FoodLoot charges a fee for use of the Platform. The applicable fee structure (which may be a transaction commission, subscription, or a combination of both) will be communicated to you separately at the time of onboarding or by written notice. Fees may be updated with reasonable advance notice.
By listing on FoodLoot and receiving your first payout, you agree to the applicable fee structure in effect at that time.
Vendor earnings will be disbursed to your nominated account according to the payout schedule agreed at onboarding. FoodLoot reserves the right to withhold payouts temporarily pending:
Where FoodLoot issues a refund to a customer due to your cancellation or your failure to fulfil an order, the refunded amount will be deducted from your payouts. Where FoodLoot issues a goodwill refund at its discretion in response to a legitimate food quality complaint against your account, this may also be deducted at FoodLoot's sole discretion.
You are solely responsible for collecting, accounting for, reporting, and remitting all taxes applicable to your sales, including sales tax (GST/VAT where applicable), income tax, and any other local or federal tax obligations. FoodLoot does not collect or remit taxes on your behalf and makes no representations regarding your tax obligations.
You agree to indemnify, defend, and hold harmless FoodLoot Ventures and its officers, directors, employees, agents, and successors from and against any and all claims, demands, proceedings, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising from or related to:
This indemnification obligation survives the termination of this Agreement.
All FoodLoot branding, design, software, and content is the intellectual property of FoodLoot Ventures. You may not use the FoodLoot name, logo, or branding in your own marketing without our prior written consent.
By uploading content to the Platform (including your business logo, deal photos, and descriptions), you grant FoodLoot a non-exclusive, royalty-free, worldwide, sublicensable licence to use, display, reproduce, and adapt that content on the Platform and in FoodLoot's marketing materials, for as long as your content remains on the Platform.
You represent that you own or have the right to use all content you upload, and that it does not infringe any third-party rights.
You must not:
FoodLoot reviews each case individually. Actions that may lead to suspension or removal include — but are not limited to:
We will generally attempt to notify you and provide an opportunity to respond before suspension, unless immediate action is required to protect customers or the Platform.
If your account is suspended or removed, you may submit an appeal to foodloot@foodlootpk.com with your account details and the grounds for your appeal. We will review all appeals and respond at our earliest convenience. Our decision on appeals is final.
To the fullest extent permitted by Pakistani law, FoodLoot Ventures shall not be liable to you (as a Vendor) for:
Our total aggregate liability to you for any and all claims shall not exceed the total platform fees paid by you to FoodLoot in the three months immediately preceding the event giving rise to the claim.
This Agreement is governed by the laws of the Islamic Republic of Pakistan.
Before pursuing formal legal action, both parties agree to attempt good-faith informal resolution by contacting foodloot@foodlootpk.com. We commit to responding within 30 days.
Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.
We may update this Agreement from time to time. Material changes will be communicated by email to your registered address and/or via the app. Continued use of the Platform after the effective date of updated terms constitutes your acceptance of the revised Agreement.
If you do not agree to updated terms, you must cease using the Platform and may request account closure by emailing foodloot@foodlootpk.com.
