This Vendor Agreement ("Agreement") governs your registration and participation as a food vendor ("Vendor") on the FoodLoot Platform. By completing the vendor onboarding process and listing deals on FoodLoot, you agree to be bound by this Agreement, the Customer Terms and Conditions, and the Privacy Policy.

If you are a customer (not a vendor), please refer to the Customer Terms and Conditions.

1. Agreement to These Terms

By submitting a vendor application, completing onboarding, or listing any deal on the FoodLoot Platform, you represent that you have read, understood, and agree to be bound by this Agreement on behalf of yourself and the business you represent.

If you are entering into this Agreement on behalf of a company or organisation, you represent that you have the legal authority to bind that entity.

This Agreement is a legally binding contract between FoodLoot Ventures ("FoodLoot", "we", "us", or "our"), a company based in Karachi, Pakistan, and the Vendor.

2. FoodLoot's Role as Intermediary

FoodLoot is a technology marketplace platform. We act as an agent and intermediary to facilitate the discovery, reservation, and payment for surplus food sold by Vendors to customers.

FoodLoot does not:

Manufacture, prepare, cook, store, pack, handle, or deliver any food at any point

Own or take physical possession of any food listed on the Platform

Enter into a direct purchase contract with customers on your behalf with respect to the food itself

Accept liability for the food you list, prepare, or provide

The purchase contract for food is between the Vendor and the Customer. FoodLoot is not a party to that contract. By listing on FoodLoot, you acknowledge and agree that you bear sole and full responsibility for the food products you sell through the Platform.

3. Vendor Eligibility

To register as a Vendor on FoodLoot, you must:

Be at least 18 years old and legally capable of entering binding agreements

Be a legitimately operating food business in Pakistan (restaurant, bakery, café, grocery, or equivalent)

Hold all licences, permits, and certifications required by Pakistani law to prepare, sell, or handle food, including compliance with the Pakistan Standards and Quality Control Authority (PSQCA) and all applicable provincial food safety regulations

Have a physical premises from which customers can collect orders

Provide accurate, truthful information during registration and throughout your time on the Platform

FoodLoot reserves the right to request evidence of any licence, permit, or certification at any time. Failure to provide requested documentation may result in suspension or removal.

4. Vendor Approval Process

Vendor registration is subject to review and approval by FoodLoot's admin team. Approval is not guaranteed. We reserve the right to approve or reject any application at our sole discretion without being required to provide reasons.

Approved Vendor status may be revoked at any time if you cease to meet eligibility requirements or breach this Agreement.

We will notify you of our decision by email.

5. Food Safety and Legal Compliance

This is the most critical section of this Agreement. Please read it carefully.

5.1 Sole Responsibility for Food Safety

You, the Vendor, bear sole and exclusive responsibility for:

The safety, quality, freshness, hygiene, and correct labelling of all food items you list and provide

Ensuring all food sold through FoodLoot complies with all applicable Pakistani food safety laws, hygiene regulations, and any relevant provincial requirements

Ensuring food is prepared, stored, and presented in a hygienic manner consistent with food safety best practice

Ensuring food is safe and fit for human consumption at the time of collection by the customer

FoodLoot has no responsibility whatsoever for the food you sell. By listing on FoodLoot, you confirm that your food is safe, lawful, and prepared to an appropriate hygiene standard.

5.2 Allergen Information

Given the variable and surplus nature of Loot Bags, exact allergen composition may not always be known in advance. However, you must:

Provide as much allergen information as is reasonably possible in your deal descriptions

Clearly note the presence of the 14 major allergens (e.g., gluten, nuts, dairy, eggs, soya, sesame, etc.) where known

Respond promptly and honestly if a customer contacts you directly regarding allergens before placing a Reservation

Never knowingly provide misleading allergen information

5.3 Expired or Unsafe Food

Listing or providing food that is expired, mouldy, spoiled, unsafe, or otherwise unfit for human consumption is a serious breach of this Agreement and Pakistani law. Any such breach will result in immediate suspension and may be referred to relevant authorities.

5.4 Customer Complaints — Your Obligations

If a customer contacts you with a food quality or safety complaint, you agree to:

Respond promptly and in good faith

Investigate the complaint seriously

Co-operate fully with any FoodLoot investigation into the complaint

Provide FoodLoot with any information requested in connection with a complaint

6. Listing Deals

6.1 Accuracy

When creating a deal listing, you represent and warrant that:

All information (deal title, description, approximate contents, price, quantity, and pickup window) is accurate and truthful

The listed quantity accurately reflects the stock you are reasonably confident you will have available

Pricing is fair — intentionally inflating "original prices" to exaggerate the discount percentage is prohibited

6.2 The Loot Bag Model

FoodLoot operates on a surplus bag model. Deals are presented as approximate — customers understand and accept that exact contents will vary. You are not required to guarantee specific items, but you must:

Ensure the bag represents genuine value at the listed discounted price

Ensure the approximate description (e.g., "Bakery Bag", "Savoury Surprise") is truthful and not misleading

6.3 Prohibited Listings

You must not list:

Food that is expired, unsafe, or unfit for consumption

Items that you do not have in stock or do not intend to provide

Deals where the listed pickup window is not one during which you will genuinely be open and available

7. Vendor Cancellations

7.1 Your Right to Cancel

You may cancel a confirmed Reservation up to 2 hours before the start of the scheduled pickup window if you no longer have sufficient surplus food available (for example, due to higher than expected sales). When you cancel:

The Customer will receive a full automatic refund

FoodLoot will notify the Customer on your behalf

7.2 Cancellation Abuse

Cancellations should only occur due to genuine surplus shortages. Repeated cancellations — particularly short-notice cancellations or cancellations that are not attributable to a genuine lack of surplus food — will be treated as a breach of this Agreement and may result in suspension or removal.

Cancellations within 2 hours of the pickup window start are only acceptable in genuine emergencies (e.g., unexpected closure, safety issue). These must be reported to FoodLoot at foodloot@foodlootpk.com with an explanation.

8. Order Fulfilment and QR Verification

You agree to:

Be present and available throughout the entire stated pickup window to fulfil orders

Always verify the customer's QR code (or order code) before handing over any order

Never hand over an order without successful verification

Prepare orders to a standard consistent with the deal description and the price paid by the customer

Failure to be present during the pickup window without prior notice or cancellation constitutes a breach of this Agreement.

9. Platform Fees and Payouts

9.1 Platform Fees

FoodLoot charges a fee for use of the Platform. The applicable fee structure (which may be a transaction commission, subscription, or a combination of both) will be communicated to you separately at the time of onboarding or by written notice. Fees may be updated with reasonable advance notice.

By listing on FoodLoot and receiving your first payout, you agree to the applicable fee structure in effect at that time.

9.2 Payouts

Vendor earnings will be disbursed to your nominated account according to the payout schedule agreed at onboarding. FoodLoot reserves the right to withhold payouts temporarily pending:

Investigation of a customer dispute or refund request related to your account

Suspicion of fraudulent activity on your account

Outstanding amounts owed by you to FoodLoot

9.3 Refund Deductions

Where FoodLoot issues a refund to a customer due to your cancellation or your failure to fulfil an order, the refunded amount will be deducted from your payouts. Where FoodLoot issues a goodwill refund at its discretion in response to a legitimate food quality complaint against your account, this may also be deducted at FoodLoot's sole discretion.

10. Taxes

You are solely responsible for collecting, accounting for, reporting, and remitting all taxes applicable to your sales, including sales tax (GST/VAT where applicable), income tax, and any other local or federal tax obligations. FoodLoot does not collect or remit taxes on your behalf and makes no representations regarding your tax obligations.

11. Vendor Indemnification

You agree to indemnify, defend, and hold harmless FoodLoot Ventures and its officers, directors, employees, agents, and successors from and against any and all claims, demands, proceedings, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising from or related to:

Any food you list, prepare, provide, or sell through the Platform, including claims relating to food safety, food quality, allergens, mislabelling, contamination, illness, injury, or death caused by your food products

Your breach of this Agreement or any applicable law

Your failure to hold required licences or comply with food safety regulations

Any misrepresentation you make in your listings or registration

Any claim by a customer that arises from or relates to your food or your failure to fulfil an order

This indemnification obligation survives the termination of this Agreement.

12. Intellectual Property

12.1 FoodLoot's IP

All FoodLoot branding, design, software, and content is the intellectual property of FoodLoot Ventures. You may not use the FoodLoot name, logo, or branding in your own marketing without our prior written consent.

12.2 Your Content

By uploading content to the Platform (including your business logo, deal photos, and descriptions), you grant FoodLoot a non-exclusive, royalty-free, worldwide, sublicensable licence to use, display, reproduce, and adapt that content on the Platform and in FoodLoot's marketing materials, for as long as your content remains on the Platform.

You represent that you own or have the right to use all content you upload, and that it does not infringe any third-party rights.

13. Prohibited Vendor Conduct

You must not:

List or sell food that is expired, unsafe, or unfit for human consumption

Misrepresent the nature, type, or approximate contents of a deal

Inflate original prices to artificially exaggerate discount percentages

Collect any payment from customers outside of the FoodLoot Platform

Refuse service to any customer based on religion, ethnicity, gender, nationality, or any other protected characteristic

Solicit, create, or incentivise fake reviews or ratings on the Platform

List deals you have no genuine intention or ability to fulfil

Attempt to circumvent FoodLoot's commission or fee structure

Use the Platform for any purpose other than selling legitimate surplus food

14. Suspension, Removal, and Appeals

14.1 Suspension and Removal

FoodLoot reviews each case individually. Actions that may lead to suspension or removal include — but are not limited to:

Credible food safety complaints

Repeated order cancellations

Repeated failure to be present during pickup windows

Sustained low ratings

Fraudulent activity or misrepresentation

Breach of any provision of this Agreement

We will generally attempt to notify you and provide an opportunity to respond before suspension, unless immediate action is required to protect customers or the Platform.

14.2 Appeals

If your account is suspended or removed, you may submit an appeal to foodloot@foodlootpk.com with your account details and the grounds for your appeal. We will review all appeals and respond at our earliest convenience. Our decision on appeals is final.

15. Limitation of FoodLoot's Liability to Vendors

To the fullest extent permitted by Pakistani law, FoodLoot Ventures shall not be liable to you (as a Vendor) for:

Any indirect, incidental, special, consequential, or punitive damages

Loss of revenue, profit, goodwill, or business opportunity

Any interruption, suspension, or unavailability of the Platform

Any loss arising from our decision to suspend, remove, or reject your Vendor account

Our total aggregate liability to you for any and all claims shall not exceed the total platform fees paid by you to FoodLoot in the three months immediately preceding the event giving rise to the claim.

16. Governing Law and Disputes

This Agreement is governed by the laws of the Islamic Republic of Pakistan.

Before pursuing formal legal action, both parties agree to attempt good-faith informal resolution by contacting foodloot@foodlootpk.com. We commit to responding within 30 days.

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

17. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated by email to your registered address and/or via the app. Continued use of the Platform after the effective date of updated terms constitutes your acceptance of the revised Agreement.

If you do not agree to updated terms, you must cease using the Platform and may request account closure by emailing foodloot@foodlootpk.com.
