This Vendor Agreement governs your registration and participation as a food vendor on the FoodLoot Platform. By completing the vendor onboarding process and listing deals on FoodLoot, you agree to be bound by this Agreement, the Customer Terms and Conditions, and the Privacy Policy.

Key Points Summary

As a Vendor, you are solely responsible for the safety, quality, and legality of all food you sell. FoodLoot is an intermediary — not liable for food quality or customer harm. Orders cannot be cancelled by you or customers directly — contact support for emergencies. You indemnify FoodLoot against any food-related claims.

Food Safety — Your Responsibility

You are solely and exclusively responsible for the safety, quality, and legal compliance of all food you list and provide. FoodLoot has zero liability for your food products. By listing on FoodLoot, you confirm your food is safe, lawful, and prepared to an appropriate hygiene standard.


1. Agreement to These Terms

By submitting a vendor application, completing onboarding, or listing any deal on the FoodLoot Platform, you agree to be bound by this Vendor Agreement, the Customer Terms and Conditions, and the Privacy Policy.

If you are entering into this Agreement on behalf of a company, you represent that you have the legal authority to bind that entity.

This Agreement is a legally binding contract between FoodLoot Ventures ("FoodLoot"), based in Karachi, Pakistan, and you, the Vendor.


2. FoodLoot's Role as Intermediary

FoodLoot is a technology marketplace platform. We act as an agent and intermediary to facilitate the discovery, reservation, and payment for surplus food sold by Vendors to customers.

FoodLoot Does Not:

The purchase contract for food is between the Vendor and the Customer. FoodLoot is not a party to that contract. By listing on FoodLoot, you acknowledge that you bear sole and full responsibility for all food products you sell through the Platform.


3. Vendor Eligibility

To register as a Vendor, you must:

FoodLoot may request evidence of any licence or permit at any time. Failure to provide requested documentation may result in suspension.


4. Vendor Approval

Vendor registration is subject to review and approval by FoodLoot's admin team. Approval is not guaranteed. We reserve the right to approve or reject any application at our sole discretion.

Approved Vendor status may be revoked at any time if you cease to meet eligibility requirements or breach this Agreement. We will notify you of our decision by email.


5. Food Safety and Legal Compliance

You, the Vendor, bear sole and exclusive responsibility for:

Allergen Information

You must provide as much allergen information as is reasonably possible in deal descriptions, clearly noting the presence of major allergens where known. Never provide misleading allergen information.

Expired or Unsafe Food

Listing or providing food that is expired, spoiled, or unfit for consumption is a serious breach of this Agreement and Pakistani law. This will result in immediate suspension and may be referred to relevant authorities.


6. Listing Deals

When creating a listing, you represent and warrant that:

The Loot Bag Model

FoodLoot operates on a surplus bag model. You are not required to guarantee specific items, but you must ensure the bag represents genuine value at the listed price and that the approximate description is truthful.

You must not list items you do not have in stock, intend to provide, or can fulfil within the stated pickup window.

Listing Limits

You may have one (1) active listing per day. The pickup window must be at least 40 minutes long and must start at least one (1) hour from the time of listing.

Pricing

FoodLoot administers a tiered pricing structure. Tier pricing — including customer price, vendor price, and platform fee — is set by FoodLoot's admin team. You may request pricing changes through the Bag Pricing screen in the app. FoodLoot retains sole discretion over pricing.


7. Order Cancellations

As a Vendor, you cannot directly cancel confirmed Reservations. If you experience a genuine emergency or surplus shortage that prevents you from fulfilling orders, contact FoodLoot immediately at support@foodlootpk.com with an explanation.

FoodLoot's admin team will review the situation and may cancel affected orders on your behalf. When an order is cancelled, the Customer receives a full refund and is notified.

Cancellation Consequences

Cancellations reflect poorly on your standing. Repeated cancellations — particularly those that are avoidable or not attributable to genuine surplus shortages — will be treated as a breach of this Agreement and may result in suspension or removal.


8. Order Fulfilment and QR Verification

You agree to:

Failure to be present during the pickup window without prior notice or cancellation constitutes a breach of this Agreement.


9. Platform Fees and Payouts

Platform Fees

FoodLoot charges a fee for use of the Platform. The applicable fee structure will be communicated separately at the time of onboarding or by written notice and may be updated with reasonable advance notice.

Payouts

Vendor earnings are settled weekly via bank transfer to the IBAN you provided during onboarding. Settlements are processed every Wednesday for the prior week's collected and no-show orders, minus any platform fees and refund deductions. You can view your earnings, pending balance, and settlement history in the app.

FoodLoot reserves the right to withhold payouts pending investigation of disputes, refund requests, or suspected fraud. Minimum payout thresholds may apply.

Refund Deductions

Where FoodLoot issues a refund to a customer due to your cancellation or failure to fulfil an order, the refunded amount will be deducted from your payouts. Goodwill refunds issued in response to legitimate food quality complaints may also be deducted at FoodLoot's sole discretion.

Taxes

You are solely responsible for collecting, accounting for, and remitting all taxes applicable to your sales, including sales tax, GST/VAT, and income tax. FoodLoot does not collect or remit taxes on your behalf.


10. Vendor Indemnification

You agree to indemnify, defend, and hold harmless FoodLoot Ventures and its officers, directors, employees, and agents from any claims, losses, damages, fines, penalties, costs, and expenses (including legal fees) arising from or related to:

11. Intellectual Property

FoodLoot's IP

All FoodLoot branding, design, and software is the intellectual property of FoodLoot Ventures. You may not use the FoodLoot name, logo, or branding in your marketing without prior written consent.

Your Content

By uploading content (logo, deal photos, descriptions), you grant FoodLoot a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content on the Platform and in marketing materials for as long as your content remains live. You retain ownership and are responsible for ensuring your content does not infringe third-party rights.

13. Suspension, Removal, and Appeals

FoodLoot reviews each case individually. Actions that may lead to suspension or removal include: credible food safety complaints, repeated order cancellations, repeated absence during pickup windows, sustained low ratings, fraudulent activity, or breach of this Agreement.

Ratings

Customers may rate their experience after collection. Sustained low ratings may lead to suspension. You may not solicit, incentivise, or fabricate ratings.

We will generally notify you and provide an opportunity to respond before suspension, unless immediate action is required to protect customers.

Appeals

You may appeal a suspension or removal by emailing support@foodlootpk.com with your account details and grounds for appeal. We will review all appeals. Our decision is final.


14. Limitation of FoodLoot's Liability

To the fullest extent permitted by Pakistani law, FoodLoot Ventures is not liable to Vendors for any indirect, incidental, special, consequential, or punitive damages; loss of revenue, profit, or business opportunity; platform interruptions or unavailability; or losses arising from suspension or removal of your account.

Our total aggregate liability to you for any and all claims shall not exceed the total platform fees paid by you to FoodLoot in the three months immediately preceding the event giving rise to the claim.


15. Governing Law, Disputes, and Changes

This Agreement is governed by the laws of the Islamic Republic of Pakistan. Before pursuing legal action, both parties agree to attempt good-faith informal resolution by contacting support@foodlootpk.com within 30 days. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

We may update this Agreement from time to time. Material changes will be communicated by email and/or in-app. Continued use of the Platform after the effective date constitutes acceptance of the revised Agreement.


16. Exclusivity

For the duration of this Agreement, you agree not to list, offer, or sell surplus or discounted food items through any competing food rescue or surplus food marketplace platform operating in Pakistan. This exclusivity applies solely to surplus/rescue food listings and does not restrict your regular business operations, including sales through your own premises, delivery apps for full-price items, or your own website.


17. Confidentiality

You shall keep confidential all non-public information disclosed by FoodLoot, including business strategies, customer data, commission structures, proprietary technology, and operational processes. You shall not disclose such information to any third party without FoodLoot's prior written consent. This obligation survives termination for a period of two (2) years.


18. Non-Solicitation

During your participation on FoodLoot and for twelve (12) months following termination, you shall not directly or indirectly solicit, divert, or attempt to divert FoodLoot customers to purchase surplus food outside the FoodLoot platform, including through personal contact details exchanged during order fulfilment. This does not restrict your regular full-price business conducted independently of FoodLoot.


19. Termination

Either party may terminate this Agreement at any time by providing fourteen (14) days' written notice to the other party via email. FoodLoot reserves the right to suspend or terminate your account immediately and without notice in cases of: credible food safety complaints, fraud, repeated order cancellations, sustained low ratings, breach of any material term, or any conduct posing a risk to customer safety.

Upon termination, your access to the Platform shall cease and outstanding payouts shall be settled subject to any pending investigations. The Confidentiality, Non-Solicitation, and Indemnification obligations survive termination.
